1. About these terms

These terms govern your use of hazinalabs.com (the "Site"), operated by Hazina Labs LLC, a limited liability company registered in the State of Connecticut, USA ("Hazina Labs", "we", "us").

By using the Site, you agree to these terms. If you use the Site on behalf of a company, you confirm that you are authorised to accept these terms for it. If you don't agree, please don't use the Site.

Our Privacy Policy explains how we handle personal information.

2. Using the Site

The Site is intended for businesses and their representatives. You must be at least 18 years old to use it or to contact us through it.

3. Information only

The content on the Site is general information about our services. It is not:

• an offer to buy, license or pay for any data;
• legal, tax, financial, data protection or other professional advice; or
• a guarantee of any outcome.

Figures such as "licences typically pay $50k to $500k" describe typical past or expected ranges. What a licence is actually worth depends on your data, its rights and quality, due diligence, and the decisions of third parties, including AI labs and their data partners, which we do not control. You should take your own professional advice, particularly on data protection and intellectual property, before entering into any agreement.

4. Enquiries and partnerships

Sending us an enquiry does not create a contract, partnership, agency or fiduciary relationship between you and us, and it does not oblige either of us to go further.

Any work together, including any evaluation, negotiation or licence of your data, will be governed by separate written agreements signed by both parties, such as a non-disclosure agreement and a data licence and negotiation agreement. If anything on the Site conflicts with a signed agreement, the signed agreement prevails.

5. What you send us

Please don't send confidential information, trade secrets, source code, or other people's personal information through the Site or by email before an NDA is in place. Information you send through the Site is not treated as confidential under these terms, although we will always handle personal information in line with our Privacy Policy.

You confirm that anything you send us is accurate to the best of your knowledge and that you are entitled to share it.

6. Intellectual property

The Site and its content, including text, graphics, the Hazina Labs name and logo, and the design of the Site, are owned by us or our licensors and protected by intellectual property laws. You may view the Site and print or save pages for your own internal business use. You may not otherwise copy, reproduce, modify, distribute or use our content or trademarks without our written permission.

7. Acceptable use

You must not:

• use the Site in any way that breaks the law or infringes anyone's rights;
• attempt to gain unauthorised access to the Site, its servers or any connected systems;
• introduce viruses or other harmful code, or interfere with the Site's operation or security;
• scrape, crawl or copy the Site's content in bulk, except by search engines indexing it for public search results;
• send spam, false information, or enquiries on behalf of someone else without their authority.

8. Links to other sites

The Site may link to websites run by others. We don't control them and aren't responsible for their content, policies or practices.

9. Disclaimer

We work to keep the Site accurate and available, but it is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement, and we don't guarantee that the Site will be uninterrupted, secure or error-free.

10. Limitation of liability

To the fullest extent permitted by law:

• we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, data or goodwill, arising from your use of, or inability to use, the Site; and
• our total liability to you for any claim arising from the Site or these terms is limited to US$100.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. If you are a consumer, nothing in these terms affects your statutory rights.

These limits apply only to your use of the Site. Liability relating to a data partnership is governed by the agreements signed for it.

11. Changes and availability

We may update these terms at any time by posting a new version on this page with a new effective date. The version in force when you use the Site applies. We may also change, suspend or withdraw the Site, or any part of it, without notice.

12. Governing law

These terms, and any dispute arising from them or from your use of the Site, are governed by the laws of the State of Connecticut, USA, without regard to its conflict of laws rules. The state and federal courts located in Connecticut have exclusive jurisdiction, and you consent to their jurisdiction and venue.

If you are a consumer living in the UK or the European Union, you also benefit from any mandatory protections of the law of the country where you live, and you may bring proceedings in your local courts.

13. General

If any part of these terms is found to be unenforceable, the rest remains in effect. If we don't enforce a right straight away, we haven't waived it. You may not transfer your rights under these terms; we may transfer ours to a successor business. These terms, together with our Privacy Policy, are the entire agreement between you and us about your use of the Site.
